Terms of Service for Speak Up

In short: Speak Up is an English-learning app for users aged 13 and above. Premium is a monthly subscription collected by recurring UPI Autopay through PhonePe — it renews until you cancel, you are told before each debit, and you can cancel any time in the App or in your UPI app. We do not give refunds for change of mind or for unused time, but we will investigate and fix a wrong or duplicated charge. This summary is for orientation only — the sections below are what apply.

1. Acceptance of these Terms

These Terms of Service (“Terms”) are an agreement between you and Eight Network Creations Private Limited, a private limited company incorporated in India (“we”, “us”, “our”), and they govern your use of the Speak Up mobile application (“the App”).

By creating an account, or by continuing to use the App, you agree to these Terms. If you do not agree to them, please do not use the App.

Our Privacy Policy forms part of these Terms and explains how we handle your personal data. Where these Terms and the Privacy Policy address the same subject, the Privacy Policy governs that subject.

“Octopus Creations” is only a publisher display name on Google Play. The legal entity that operates the App, contracts with you under these Terms, and is accountable for it is Eight Network Creations Private Limited.

3. Eligibility

The App is intended for users aged 13 years and above. You may not use the App if you are under 13.

If you are between 13 and 17 years old, you may use the App only with the verifiable consent of a parent or lawful guardian, and that parent or guardian accepts these Terms on your behalf. By using the App, you confirm that such consent has been obtained.

You also confirm that you have the legal capacity to enter into this agreement and that you are not barred from doing so under any law that applies to you.

4. Your account

You register with your mobile phone number, verified by a one-time password sent over SMS. The App does not offer Google or social sign-in, and no email address is required to hold an account.

  • One account per person. Accounts are personal to you and may not be shared, sold, transferred, or used by anyone else.
  • You are responsible for keeping control of the mobile number and the device linked to your account, including the SIM and any one-time passwords sent to it.
  • The information you give us — such as your name, native language, and starting level — must be accurate, and you should keep it up to date.
  • Tell us at support@eight.network as soon as you believe someone else has gained access to your account.

If you stop controlling the mobile number registered to your account — for example, if it is recycled by your operator and issued to someone else — that person may be able to gain access to the account. Please delete your account before giving up a number.

5. What Speak Up provides

The App offers structured English-learning lessons and exercises, with progress tracking, experience points, streaks, and badges. Speech in the App is generated on your device.

Speak Up is provided for general educational purposes only. We work hard on the quality of our curriculum, but language learning depends on your own practice and many other factors, so:

  • We do not guarantee any particular level of English proficiency, exam result, academic outcome, or employment outcome.
  • The App is not a substitute for formal education, professional tuition, or certification, and it is not a certifying body.
  • Lesson content may contain occasional errors. If you spot one, please tell us — corrections are welcome.

6. Your licence to use the App

We grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to install and use the App on a device you own or control, for your own personal, non-commercial learning.

That licence lasts while these Terms are in force, and it ends automatically if your account is terminated or you stop using the App. It grants you no rights of ownership: all rights we do not expressly grant you are reserved. See Section 10.

7. Acceptable use

You agree that you will not:

  • copy, modify, translate, decompile, disassemble, or reverse engineer the App, or try to derive its source code, except to the extent a law gives you a right we cannot restrict;
  • scrape, bulk-download, republish, or resell our lesson content, curriculum, audio, or artwork;
  • access the App or our servers by automated means — bots, scripts, or emulated clients — or interfere with, overload, or probe them;
  • circumvent or attempt to circumvent Premium access controls, paywalls, usage limits, rate limits, or trial eligibility checks;
  • create multiple accounts to obtain additional free trials or to evade a suspension;
  • impersonate anyone, use someone else's mobile number without permission, or misrepresent your age or your guardian's consent;
  • use the App for anything unlawful, or in a way that infringes anyone else's rights.

We may suspend or terminate access for breach of this section — see Section 14.

8. Subscriptions, billing and auto-renewal

Parts of the App are free. Premium unlocks the full curriculum and is a paid monthly subscription. This section explains exactly what you authorise when you subscribe. Please read it before you pay.

8.1 The Premium plan

We offer a single Premium plan, billed monthly in Indian Rupees (INR). The applicable price and any free-trial period are those shown in the App at the time you subscribe, on the screen where you confirm the purchase. That screen is the authoritative statement of what you will pay.

8.2 Free trial

We may offer a free trial period. Where we do:

  • A trial is available only once per person. We identify a person by their mobile phone number.
  • Deleting your account and registering again does not make you eligible for another trial. We keep a hashed record of the phone numbers that have taken a trial so that this rule survives account deletion. That record contains no readable phone number and nothing else about you.
  • Unless you cancel before the trial ends, your subscription continues automatically and the first monthly charge is collected — see Section 8.5.

8.3 The UPI Autopay mandate you authorise

Premium is collected by recurring UPI Autopaythrough PhonePe Limited. When you subscribe, you approve a mandate — a standing instruction — in PhonePe or in whichever UPI app you choose. By approving it you authorise us to ask your bank to debit your account each month for Premium, up to the maximum amount shown on the mandate.

  • The mandate is authorised entirely inside your UPI app. We never see or store your UPI PIN, card number, or bank credentials.
  • Where a mandate is set up at the start of a free trial, your bank may show a nominal verification charge of ₹2. This is how UPI confirms the mandate is valid; it is not the plan price. Your bank or UPI app determines whether and when it is reversed.
  • Where you subscribe without a trial, the first month is collected at the time you approve the mandate.

8.4 Notice before each debit

As required by the Reserve Bank of India for recurring payments, you are notified at least 24 hours before each renewal is collected, telling you the amount and the date. We trigger that notice through PhonePe, and it reaches you from PhonePe, your UPI app, or your bank rather than from us. Keep notifications enabled in those apps so that you receive it.

8.5 Auto-renewal

Premium renews automatically every month and is charged to the mandate you approved, until you cancel it. Each renewal buys the following month of access.

8.6 If a renewal payment fails

If a monthly debit does not succeed — for example, for insufficient funds, or because your bank declines it — we retry it for a limited period of up to 48 hours from when it first became due. If collection still has not succeeded at the end of that window, the subscription lapses and Premium access ends. Your account and your learning progress remain; only Premium access stops. You can subscribe again at any time.

8.7 Changes to the price

We may change the Premium price. If we do, we will tell you in advance, and the new price applies only from a following billing cycle — never retrospectively.

We will never collect more than the maximum amount you authorised in your mandate. If a new price is higher than that maximum, we cannot charge it against your existing mandate: it takes effect only if you approve a new mandate. If you do not, your existing subscription continues at your authorised amount until it ends or lapses.

8.8 Cancelling

You can cancel Premium at any time, in either of two ways:

  • in the App, from the subscription card in your profile; or
  • by revoking the Autopay mandate in PhonePe or the UPI app where you approved it.

Cancelling stops future renewals. It does not end the period you have already paid for: Premium access continues until the end of your current billing period, and then stops. We do not pro-rate or part-refund the remainder of a paid period — see Section 9.

Pausing a mandate is not the same as cancelling. If you pause the Autopay mandate in your UPI app, we cannot collect from it, and Premium access stops straight away rather than continuing to the end of the period you have paid for. To keep the access you have already paid for, cancel in the App or revoke the mandate instead.

If you revoke the mandate, we detect it and close your subscription, keeping your access to the end of the period you have paid for. Cancelling in the App is still the quickest way to make it take effect.

8.9 How we handle your payment data

What we receive and store about a payment — and what PhonePe handles instead of us — is described in Section 12 of our Privacy Policy.

9. Refunds

Premium gives you immediate access to paid content for the period you buy. Because of that:

  • We do not give refunds for a change of mind, for a period you have paid for but not used, for part of a month after you cancel, or for a free trial you did not use.
  • We do not give refunds where access was suspended or terminated because you breached these Terms.

If you have been charged in error — a duplicate debit, an amount that does not match what the App showed you, or a debit after you cancelled — we will investigate and correct it. Write to support@eight.network with the date and amount. We will respond within 7 working days, refunding any amount we should not have collected.

Nothing in this section affects any right you have under Indian consumer law, or any other right that cannot be excluded or limited under applicable law.

10. Our intellectual property

The App and everything in it — the curriculum, lessons, exercises, question banks, generated audio, illustrations, artwork, design, software, and the “Speak Up” name and logo — belong to Eight Network Creations Private Limited or to our licensors, and are protected by copyright, trade mark, and other laws.

Section 6 grants you a licence to use the App. It transfers no ownership and gives you no right to reproduce, distribute, adapt, publicly display, or create derivative works from our content outside the App without our written permission.

If you send us feedback, a bug report, or a suggestion, you allow us to use it to improve the App without any obligation or payment to you. We will not publish your feedback in a way that identifies you without your permission.

11. Your data and your learning progress

What we collect, why, how long we keep it, and the rights you have over it are set out in our Privacy Policy. It is the governing document on those questions, and we do not repeat it here.

Two points matter for these Terms. Your learning progress is stored on our servers so it survives reinstalling the App and changing devices. And you can delete your account and its data at any time, from Settings → Account → Delete Account inside the App or at our account deletion page. See Section 14.

12. Third-party services we rely on

Running the App depends on service providers. Each receives only what it needs, and each is described in Section 5 of our Privacy Policy:

  • Amazon Web Services — application hosting, in the Asia Pacific (Mumbai) region
  • MSG91 (Walkover Web Solutions Pvt Ltd) — delivering your login one-time passwords by SMS
  • Google Firebase — push notifications, crash reporting, and product analytics
  • PhonePe Limited — subscription payments and recurring UPI Autopay mandates

Your dealings with a third party under its own terms — your UPI app, your bank, your mobile operator, or the Google Play Store — are between you and them. We are not responsible for their services, and a failure or outage in one of them may interrupt the App.

13. Availability and changes to the App

We want the App to be available and improving, but we do not promise uninterrupted or error-free service. Access needs a working internet connection and a supported Android device, both of which are your responsibility.

We may add, change, suspend, or withdraw features, lessons, or content, and we may carry out maintenance that makes the App temporarily unavailable. If we withdraw a significant part of Premium that you are paying for, you may cancel under Section 8.8.

We support recent versions of the App. Very old versions may stop working, and you may need to update to continue.

14. Suspension and termination

By you. You can stop using the App at any time, cancel Premium under Section 8.8, and delete your account from Settings → Account → Delete Account or at our account deletion page. Deleting your account removes your account data and learning progress as described in the Privacy Policy.

Deleting your account also revokes your UPI Autopay mandate, so no further money can be collected from you. If we cannot reach PhonePe to revoke the mandate, the deletion does not go ahead — we will not leave a live mandate behind on a closed account. You do not need to revoke it separately, though you are free to do so in your UPI app as well.

Deleting your account does not refund a period you have already paid for, and it does not make you eligible for another free trial — see Sections 8.2 and 9.

By us. We may suspend or terminate your access, or close your account, if you breach these Terms — in particular Section 7 — or where we are required to by law, or where continuing to provide the App to you would expose us or other users to legal risk, fraud, or harm.

Except where the breach is serious or a law requires immediate action, we will give you notice and, where it is reasonable to do so, a chance to put the problem right. If we terminate your access for breach, Section 9 applies and no refund is due.

Sections 9, 10, 15, 16, 17, 18, and 19 continue to apply after these Terms end.

15. Disclaimers

To the fullest extent the law allows, the App is provided “as is” and “as available”, and we make no warranties, conditions, or representations about it other than those we cannot exclude by law.

In particular, we do not warrant that:

  • the App will be uninterrupted, timely, secure, or free of errors or defects;
  • any lesson content is complete, current, or free of error, or that it suits your particular learning goals;
  • using the App will achieve any specific level of English proficiency or any exam, academic, or employment outcome.

16. Limitation of liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be excluded or limited under applicable law.

Subject to that, to the fullest extent the law allows:

  • we are not liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or for loss of profit, revenue, goodwill, opportunity, or data, however caused; and
  • our total liability arising out of or in connection with these Terms or your use of the App is limited to the total amount you actually paid us in the twelve months immediately before the event giving rise to the claim. If you have never paid us anything, that amount is nil.

These limits apply however the claim arises — in contract, in tort including negligence, under statute, or otherwise — and they apply even if we were told the loss was possible.

17. Indemnity

You agree to indemnify us and hold us harmless against claims, demands, losses, liabilities, and reasonable costs (including legal fees) that arise from:

  • your breach of these Terms, in particular Section 7;
  • your use of the App in a way these Terms do not permit, or that breaks the law;
  • your use of the App while under 13, or between 13 and 17 without the guardian consent Section 3 requires.

This does not apply to the extent the claim results from our own breach of these Terms or our negligence.

18. Governing law and jurisdiction

These Terms and any dispute arising out of them or your use of the App are governed by the laws of India, without regard to conflict-of-laws rules.

The courts at Bengaluru, Karnataka, India have exclusive jurisdiction over any such dispute, and you and we submit to that jurisdiction.

Before starting proceedings, please write to us at support@eight.network so that we can try to resolve the matter directly. Most problems are settled this way.

19. Grievance redressal

We have designated a Grievance Officer as required under the Information Technology Act, 2000 and the rules made under it. Grievances about the App or these Terms reach the Grievance Officer through the details below.

We will acknowledge your grievance within 48 hours of receiving it and resolve it within 30 days.

Grievances about your personal data are handled under Section 15 of our Privacy Policy, which also explains your right to escalate to the Data Protection Board of India.

20. Changes to these Terms

We may update these Terms — for example when we add features, change how billing works, or to reflect a change in the law.

  • When we change them, we update the “Last updated” date at the top of this page.
  • If a change is significant — such as a change to pricing, billing, or your rights under these Terms — we will give you advance notice in the App or by SMS, and where the law requires it, ask you to accept the change before it applies to you.
  • Continuing to use the App after a change takes effect means you accept the updated Terms. If you do not accept them, please cancel under Section 8.8 and stop using the App.
  • A change to the price is only ever collected as Section 8.7 describes.
